We are seeking M&A Due Diligence Attorneys with experience in IP agreements to work on a contract basis on a series of acquisitions over the next several months / year. The client is in San Francisco and we would prefer local candidates; however, it’s possible that telecommuting may be an option and thus would consider all highly qualified candidates.
Specifically we seek attorneys with 3+ years of experience working on due diligence projects for M&A matters relating to IP agreements. Ideal candidates will have large law firm experience working on IP - M&A
deals, with a background in due diligence, commercial licensing, transactions, channel agreements, and other commercial agreements.
Relevant experience includes:
* Experience analyzing (not merely negotiating and drafting) contracts
of the target company that is to be purchased by the client.
* Ability to quickly assess and target IP rights such as product
development, employee contracts, inbound IP rights, open source
licenses, etc.
* Experience analyzing, and determining compliance with, contracts,
direct customer agreements, channel agreements, distribution agreements,
OEM agreements, and the like.
* Ability to look at what the target company has monetized with respect
to their IP rights and assess exposure, liability, rights and risk.
